These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Checksum Labs, Inc., a Delaware corporation ("InstaVM," "Company," "we," "us," or "our"), governing your access to and use of the InstaVM platform, including our website at instavm.io, APIs, SDKs, and related services (collectively, the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
You must be at least eighteen (18) years of age to use the Service. By using the Service, you represent and warrant that you have the legal capacity to enter into a binding contract in your jurisdiction. The Service is available to users worldwide, subject to applicable laws and regulations.
To access certain features of the Service, you must create an account. You may register using your email address or through third-party authentication providers such as Google or GitHub. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, false, or misleading.
InstaVM provides cloud-based virtual machine sandbox environments that enable users to execute code in isolated containers. The Service includes API access, software development kits (SDKs), and related tools for programmatic interaction with our platform.
Users may execute code within sandboxes, which have access to internet connectivity. Resource allocations including CPU, memory, and execution time limits are determined by your selected plan and configuration prior to initiating a virtual machine instance.
New users receive one hundred US dollars ($100) in introductory credits upon registration. These introductory credits do not expire and are available for one-time use only. Once introductory credits are exhausted, continued use of the Service requires adding a valid payment method. Subsequent usage will be billed on a pay-as-you-go basis according to our published pricing.
Users may elect to add a payment method at any time to access additional credits and pay-as-you-go billing. Usage beyond any included credits is billed monthly based on actual consumption from the payment method on file.
All payments are processed through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your payment method for all fees incurred. All fees are non-refundable except as expressly set forth herein or as required by applicable law. We reserve the right to modify our pricing at any time upon thirty (30) days' prior notice.
You retain all ownership rights in any code, data, or other content you upload, submit, or execute through the Service ("User Content"). InstaVM claims no ownership over your User Content.
By using the Service, you grant InstaVM a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, process, analyze, and store your User Content solely for the purposes of:
We may use anonymized, aggregated data derived from User Content to improve our services, including training machine learning models to enhance platform performance, reliability, and features. You may opt out of such use by contacting us at hello@instavm.io.
We may retain User Content, including code and execution logs, for up to one (1) year for analytics, debugging, service improvement, and compliance purposes.
You agree to use the Service only for lawful purposes and in compliance with these Terms. You are solely responsible for all User Content and activities conducted through your account.

From time to time, we may offer access to beta, preview, or experimental features ("Beta Features"). Beta Features are provided "as is" and "as available" without any warranties of any kind. We make no commitments regarding the availability, reliability, or functionality of Beta Features. Beta Features may be subject to additional or different terms, which will be communicated to you upon access. We may modify or discontinue Beta Features at any time without notice or liability.
InstaVM commits to maintaining 99.9% uptime for the Service, measured on a monthly basis, excluding scheduled maintenance and circumstances beyond our reasonable control.
If we fail to meet the 99.9% uptime commitment in any calendar month, affected users may be eligible for service credits as follows:
Service credits are not redeemable for cash and must be used within twelve (12) months of issuance. To request service credits, you must submit a claim to hello@instavm.io within thirty (30) days of the end of the affected month.
The uptime commitment does not apply to: scheduled maintenance with reasonable advance notice; force majeure events as described in Section 15; issues caused by your actions or User Content; Beta Features; or third-party services or internet connectivity issues outside our control.
The Service, including all software, technology, designs, trademarks, and content provided by InstaVM, is owned by or licensed to InstaVM and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms.
We respect the intellectual property rights of others and expect users to do the same. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our designated agent with the following information:

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach any provision of these Terms, including but not limited to violations of the Acceptable Use Policy. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, INSTAVM DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. INSTAVM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INSTAVM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.
IN NO EVENT SHALL INSTAVM'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO INSTAVM IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
You agree to indemnify, defend, and hold harmless InstaVM and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
InstaVM shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, labor disputes, internet or telecommunications failures, power outages, cyberattacks, pandemics, or other similar events.
You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to United States trade sanctions or embargoes, and that you are not on any US government restricted parties list. You agree to comply with all applicable export control laws and regulations, including the Export Administration Regulations maintained by the US Department of Commerce and sanctions programs administered by the Office of Foreign Assets Control (OFAC).
Before initiating any formal dispute resolution proceeding, you agree to first contact us at hello@instavm.io to attempt to resolve any dispute informally. We will endeavor to resolve the dispute through good faith negotiations for at least thirty (30) days.
If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, or at another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
YOU AND INSTAVM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights pending resolution of a dispute.
These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
We reserve the right to modify these Terms at any time. If we make material changes, we will provide at least thirty (30) days' prior notice by posting the updated Terms on our website or by sending you an email notification. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree with the modified Terms, you must discontinue use of the Service.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. For material changes that adversely affect your use of the Service, we will endeavor to provide thirty (30) days' prior notice where practicable. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and InstaVM regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
